These Terms of Service ("Terms") govern access to and use of the ClipNinja Agency platform, website, and related services ("Service"). By using the Service, you agree to these Terms.
Use of the Service is permitted only for individuals at least 13 years of age or the minimum age of digital consent in their jurisdiction. If you are accessing the Service on behalf of an entity, you confirm that you have the authority to bind that entity to these Terms.
Certain features require account registration. Users are responsible for safeguarding login credentials and for all activity occurring under their account. Any unauthorized access should be reported promptly.
ClipNinja provides a content management system designed for short-form video processing, centralized content organization, social platform distribution, and analytics reporting. Features may be updated, added, or removed as the Service evolves.
Users retain ownership of all content uploaded or submitted through the Service ("User Content"). By submitting User Content, you grant ClipNinja a non-exclusive, worldwide license to host, process, schedule, and distribute the content solely as necessary to operate the Service and perform authorized workflows.
You are solely responsible for ensuring that your content complies with all applicable laws and third-party platform requirements.
Channels created and managed through the ClipNinja platform are the property of ClipNinja Agency. ClipNinja maintains administrative control of these channels for the purpose of operating the Service.
Eligible users may receive a 50% share of net earnings generated by the channels assigned to their account while their subscription remains active and in good standing. ClipNinja retains the remaining share and all ownership rights to the channels themselves.
If a subscription is canceled, suspended, or becomes inactive due to non-payment:
When a subscription is reactivated, ClipNinja may resume providing services and re-enable workflow access for the same channel(s). Revenue participation resumes only while the account is active.
Some features require payment. Fees are non-refundable unless expressly stated otherwise. By subscribing, you authorize ClipNinja to charge the designated payment method on a recurring basis until cancellation is completed through the provided process. Failed payments may result in suspension or pausing of channel activity.
All software, design elements, and platform materials are owned by or licensed to ClipNinja. No rights are granted except as expressly stated in these Terms.
The Service integrates with supported platforms such as TikTok, YouTube, and Instagram. Your use of those platforms is subject to their individual terms and policies. ClipNinja is not responsible for changes, outages, or limitations imposed by third-party services.
ClipNinja may suspend or terminate access for any reason, including misuse or violation of these Terms. Upon termination, all rights granted to you cease except those that naturally survive.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLIPNINJA AND ITS AFFILIATES ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION.
Liability is limited to the amount paid to ClipNinja during the 12 months preceding the claim.
You agree to indemnify and hold ClipNinja harmless from claims, losses, or liabilities arising from your use of the Service or violation of these Terms.
These Terms are governed by the laws of the jurisdiction in which ClipNinja operates. Legal disputes must be resolved in the courts within that jurisdiction.
ClipNinja may update these Terms at any time. The “Last Updated” date reflects the most recent revision. Continued use of the Service constitutes acceptance of the updated Terms.
